Terms of Service

You must be at least 18 years old and able to form a binding contract under U.S. law. By using the Services, you represent that you meet these requirements and that the information you provide is accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@guidekeep.com of any unauthorized use.

• Subscriptions renew automatically at the end of each billing cycle until canceled.
• Fees are billed in advance and are non-refundable except as stated in our Refund Policy.
• You authorize us to charge your payment method for all applicable fees and taxes.
• We may change pricing on prospective billing cycles with at least 30 days' notice.

GuideKeep is committed to providing a reliable, secure, and continuously evolving platform. We regularly enhance our Services through feature updates, performance improvements, and security enhancements to deliver a better user experience.

We may occasionally perform scheduled maintenance, introduce new features, or modify existing functionality. While we strive to maintain uninterrupted service, temporary interruptions may occur due to maintenance, upgrades, or circumstances beyond our reasonable control.

You agree not to:

• Use the Services in violation of any U.S. federal, state, or local law.
• Upload malicious code or attempt to disrupt or compromise the Services.
• Reverse-engineer, decompile, or attempt to derive source code from the Services.
• Resell, sublicense, or share access without our written authorization.
• Use the Services to send unsolicited communications in violation of CAN-SPAM, TCPA, or similar laws.

You retain all rights to data you submit to the Services ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Data solely to provide and improve the Services.

The Services, including all software, designs, logos, and content (excluding Customer Data), are owned by GuideKeep or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDEKEEP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless GuideKeep, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

Either party may terminate these Terms for material breach upon 30 days' written notice if uncured. We may suspend or terminate your access immediately for violations of the Acceptable Use section. Upon termination, your right to use the Services will cease, and we will delete Customer Data in accordance with our retention policies.

GuideKeep operates globally. These Terms are governed by the laws of the United States and the state in which GuideKeep is registered, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the courts of competent jurisdiction located in our place of incorporation, and you consent to personal jurisdiction there.

At our election, disputes may be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in our place of incorporation (proceedings may be conducted remotely). You waive any right to participate in a class action or class arbitration. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing contact@guidekeep.com.

We may update these Terms from time to time. Material changes will be announced via the Services or by email at least 30 days before they take effect. Continued use of the Services constitutes acceptance.
